These Website Terms of Use (“Terms”) govern access to and use of hypesystems.com and the public pages, articles, calculators, assessments and links made available through it (collectively, the “Website”). The Website is operated by HYPE Systems Inc. (“HYPE,” “we,” “us” or “our”).

By using the Website, you agree to these Terms. If you do not agree, do not use the Website. Separate agreements apply to HYPE software subscriptions, implementations, support services and customer data.

1. Informational purpose

The Website provides general information about HYPE, Ontario healthcare technology, billing workflows and related topics. Website content is not medical, legal, accounting, compliance or professional billing advice and should not be relied upon as a substitute for current official requirements or qualified advice.

Ontario billing rules, fee schedules, technical standards and program requirements can change. Although HYPE aims to provide useful and accurate information, users remain responsible for confirming current requirements with the applicable Ministry, Ontario Health, professional body or other authoritative source.

2. Calculators and assessments

Website calculators, estimates, checklists, scores and assessment results are educational and planning tools. They depend on the information entered and on stated assumptions. They do not determine eligibility, compliance, reimbursement, audit outcomes, revenue or the configuration HYPE may ultimately recommend.

Results are estimates only and are not a quotation, guarantee or commitment by HYPE. Final pricing, scope, product suitability, technical architecture and commercial terms require confirmation by HYPE.

Do not enter patient information in any public Website calculator, form or assessment.

3. Product and partnership information

Descriptions of products, integrations, implementation approaches and possible partnership components are general. Features, availability, compatibility, timelines and technical or commercial models may vary. No product purchase, licence, implementation or partnership is created through Website use or a preliminary discussion.

Specific commitments are binding only when included in a written agreement authorized by HYPE and the applicable customer or partner.

4. Acceptable use

You agree not to:

• use the Website for unlawful, fraudulent, abusive or misleading purposes;
• attempt to gain unauthorized access to the Website, its infrastructure or connected services;
• interfere with security, availability or normal operation;
• introduce malicious code, use automated activity that places an unreasonable load on the Website, or attempt to circumvent access controls;
• submit patient information, confidential third-party data or content you are not authorized to provide; or
• copy, scrape, republish or commercially exploit Website content except as permitted by law or with HYPE’s written permission.

5. Intellectual property

The Website and its content—including text, graphics, branding, logos, layouts, software, downloadable resources and original tools—are owned by or licensed to HYPE and are protected by applicable intellectual-property laws. HYPE, HYPE Medical, HyperChart and associated marks and branding may not be used without authorization.

You may view and print reasonable portions of publicly available content for your own internal, non-commercial informational use, provided attribution and proprietary notices are preserved.

6. Third-party services and links

The Website may link to or display third-party services and resources, including Zoho, Google, Ontario government, Ontario Health, professional organizations and independently operated calculators. HYPE does not control third-party content, availability, security or privacy practices. A link does not necessarily constitute endorsement.

Your use of a third-party service is governed by that provider’s terms and policies.

7. Availability and changes

We may modify, suspend or discontinue Website content or functionality at any time. We do not guarantee uninterrupted, error-free or secure access. Maintenance, provider outages, internet conditions and events beyond our control may affect availability.

8. Disclaimer

To the maximum extent permitted by law, the Website is provided “as is” and “as available,” without representations, warranties or conditions of any kind, whether express, implied or statutory, including warranties or conditions of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement or uninterrupted operation.

Nothing in these Terms excludes warranties, conditions or rights that cannot lawfully be excluded.

9. Limitation of liability

To the maximum extent permitted by law, HYPE and its directors, officers, employees, contractors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost revenue, lost profits, lost data, business interruption or decisions made in reliance on Website content, calculators or assessments.

Where liability cannot be excluded, it will be limited to the extent permitted by applicable law. These Website limitations do not replace or amend liability terms in a separate written agreement with HYPE.

10. Privacy

Our Privacy Policy describes how personal information is handled through the public Website.

11. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Subject to applicable law, disputes concerning these Terms or the Website will be brought before the courts located in Ontario.

12. Changes and contact

We may update these Terms by posting a revised version with a new effective date. Continued use after an update constitutes acceptance of the revised Terms.
